Terms of Service

By accessing or using any VastuTek Inc. (“VastuTek,” “we,” “us,” or “our”) website, application, or service — including but not limited to the OS-to-Revu Bridge, Revu-to-Bid2Win Import, EarthEstimator Pro, and the Disposal Assistant — you agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, you must not use our services. If you are using VastuTek on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

VastuTek provides construction intelligence tools designed to bridge data between takeoff, markup, bidding, and earthwork estimating software. Our current product suite includes:

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Immediately notify us if you discover or suspect any security breach

You are responsible for all activities that occur under your account.

Refund Policy: We offer a 14-day money-back guarantee for new subscriptions. After 14 days, fees are non-refundable. Cancelling your subscription stops future charges but does not retroactively refund the current billing period.

You agree not to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of our software
• Use the services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any portion of the services or related systems
• Share, resell, sublicense, or distribute your account access to unauthorized third parties
• Introduce malicious code, viruses, or any harmful technology to our platform
• Interfere with or disrupt the integrity or performance of the services

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

All VastuTek software, branding, documentation, and content are owned by Vastutek Inc. and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the services for your internal business operations.

Your Data: You retain full ownership of any data you upload or create using our tools. By using VastuTek, you grant us a limited license to process, store, and transmit your data solely to provide and improve the services.

VastuTek integrates with third-party software including On Screen Takeoff, Bluebeam Revu, and Bid2Win. These are independent products governed by their respective vendors’ terms. VastuTek is not affiliated with, endorsed by, or sponsored by these vendors. We are not liable for changes, outages, or issues with third-party software that may affect VastuTek functionality.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the services will be uninterrupted, error-free, or free of harmful components. Construction estimating and data translation involve inherent complexities, and you are responsible for verifying all output data before relying on it for bidding or operational decisions.

You agree to indemnify, defend, and hold harmless Vastutek Inc., its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney’s fees) arising from your use of the services, violation of these Terms, or infringement of any third-party rights.

You may terminate your account at any time by cancelling your subscription through your dashboard or by contacting support@vastutek.com.

We may suspend or terminate your access immediately, without prior notice, if we reasonably believe you have violated these Terms. Upon termination, your right to use the services ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law will survive termination.

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the services shall be resolved exclusively in the state or federal courts located in Cook County, Illinois.

We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email or a prominent notice on our website at least 30 days before the changes take effect. Your continued use of VastuTek after the effective date constitutes acceptance of the revised Terms.
